NEXUS students do not follow a traditional curriculum, but they are not unprepared for traditional institutions. By the Catalyst stage (ages 16–18), students have completed the equivalent of AP-level depth in mathematics, science, language, and reasoning. Our Dimension Balancer tracks all work and generates a portfolio transcript that any admissions office can read. Students who want to sit for SAT, ACT, or IB exams can prepare with our targeted bridge modules. The honest answer: NEXUS students will be better prepared — not just credentialed.

Everything You Are Wondering

Is this a regulated securities offering?

NEXUS is structured as a private equity placement under Regulation D (Rule 506(b)), allowing us to accept investment from up to 35 non-accredited investors and an unlimited number of accredited investors. Founding families will receive a private placement memorandum (PPM) before finalizing their investment. This is not a public offering. By applying, you are expressing interest only — no money moves until legal documents are signed.

Can families outside the United States invest?

Yes. NEXUS is a Delaware C-Corporation and can accept investment from international families. International investors will need to complete standard accreditation or non-accreditation documentation per US securities law. We will guide you through this process. Your monthly subscription and Bitcoin payments can be made from any country.

What happens to my equity if NEXUS never raises a Series A?

Your equity remains valid. NEXUS is structured to be self-sustaining from subscription revenue — we do not require venture capital to survive. If we reach profitability, you participate in dividends. If we are acquired or go public, your Class A shares convert accordingly. We are building to last, not to flip.

My children are young. Will the product be ready before they need it?

Stage 1 funds the MVP build. Our target: a working product for the first cohort of children within 12 months of Stage 1 closing. Founding family children are the first cohort. If your child is under 4 when you join, your slot is reserved and you begin when they are ready.

What is the Founding Family Council?

The Founding Family Council is a governance body with one collective seat on the NEXUS board. All 900 founding families elect 7 representatives who sit on the council. The council advises on curriculum, pricing, privacy policy, and major strategic decisions. It does not have veto power over operations, but it has guaranteed visibility and a formal voice.

Can I transfer my founding family equity to my children?

Founding family equity follows standard private company transfer rules — you can transfer to immediate family members (including your children) with board approval. Equity is not publicly tradeable. You cannot sell it to a third party without right-of-first-refusal from NEXUS.

What if I have more than one child?

Your $3,000 investment and equity stake are per family, not per child. The inscription fee waiver applies to all children in your household. Monthly fees apply per child. A family with three children in NEXUS pays monthly fees for three children but holds one founding family equity position.

Is the 18% total equity final? Will it be diluted?

The 18% is Class A economic equity. It will be diluted as we raise future funding rounds — that is standard for any growing company. However, the equity is real and participates fully in any future value event. We will always be transparent about our cap table. Your founding family documentation will include anti-dilution notification rights.
